Corporate Secretarial Manager – Entity Compliance and Governance

The opportunity

The EY Entity Compliance and Governance (ECG) team assists client legal departments with designing, implementing, and operating entity compliance and governance systems. The team ensures clients meet legislative and regulatory requirements and provides legal and administrative support and guidance to clients' boards of directors.

We are looking for a Manager to join our Entity Compliance and Governance team (Company Secretarial) in our Warrang – Sydney, Naarm – Melbourne or Meanjin – Brisbane office. Your key responsibilities

  • Provide technical expertise, compliance services and advice to a range of private, public listed and non–listed clients, ensuring that services are delivered to a high standard, on time, and within our commercial operating model.
  • Develop and manage key client relationships and provide a full range of advisory services including technical support, board support and governance and best practice advice.
  • Manage internal relationships at EY and develop a strong profile in the Sydney or Melbourne office.
  • Manage a team of junior staff, providing ongoing technical guidance and contributing to team training sessions.
  • Contributing to business development activities, with support and guidance from Senior Management, including attending meetings with potential clients and preparing proposals.

Skills and attributes for success

  • Tertiary qualifications with a legal, business or other relevant qualification, such as the Graduate Diploma in Applied Corporate Governance.
  • Minimum 5 years’ experience providing Corporate Secretarial services either in-house or in a legal firm/professional services / consulting organisation with at least 1 year experience supporting and managing a junior team.
  • Strong commercial awareness and experience in working as part of a team, with the ability to build effective internal and external relationships.
  • Experience in providing transactional corporate secretarial support and board support including attending and minuting meetings, drafting board resolutions, registering new companies, branch offices and an understanding of the issues and requirements in respect of the same.
  • Experience using Diligent/Blueprint Oneworld, CAS360, GEMS or similar corporate secretarial database and technology platforms.
  • Exceptional attention to detail, organisational and time management skills to prioritise competing deadlines, a strong work ethic and exceptional interpersonal, verbal and written communication skills.
